Termination clauses in Ontario have been under fire for years. Many employers were caught off guard when standard language in employment agreements was deemed unenforceable by the courts—leading to unexpected payouts and legal headaches.
But a recent Ontario Court of Appeal decision (Bertsch v. Datastealth Inc., 2025 ONCA 379) gives employers a clearer path forward. The court upheld a termination clause that limited entitlements to ESA minimums as long as the language was clear, inclusive of all scenarios, and didn’t conflict with the law.
This is a step in the right direction—but it doesn’t mean your current contracts are safe.
